SUMAMI Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you (a "Store Partner" or "Delivery Partner") and Sumami. By accessing the Sumami app, you agree to be bound by these Terms.


Terms of Service

1. The Nature of Sumami’s Service

Sumami is a technology platform that acts solely as an intermediary to connect independent users. Sumami does not provide delivery or logistics services and does not function as a delivery carrier. Any delivery services are provided by independent third-party contractors (Drivers) who are not employed by Sumami. Sumami has no control over, and assumes no responsibility for, the actions or omissions of any Store Partner or Delivery Partner. 


2. User Accounts

  • Eligibility: Users must be at least 18 years old and, in the case of Drivers, possess all legal permits required in their jurisdiction (e.g., Ghana DVLA licenses, store registration).
  • Accuracy: You agree to provide accurate, current, and complete information during registration.
  • Security: You are responsible for maintaining the confidentiality of your login credentials.


3. Terms for Store Partners

  • Product Quality: Stores are solely responsible for the quality, packaging, and legality of the items sold.
  • Order Fulfillment: Stores must ensure items are ready for pickup at the time specified to maintain Sumami’s "fast and reliable" promise.
  • Fees: Stores agree to the subscription structure for use as outlined in their specific partner app and dashboard.


4. Terms for Delivery Partners (Drivers)

  • Independent Contractor Status: Drivers are independent contractors. This agreement does not create an employer-employee relationship, partnership, or joint venture.
  • Equipment: Drivers are responsible for providing and maintaining their own transport (cars, wheelbarrows, tricycles, or bikes etc.) and mobile data.
  • Conduct: Drivers must act professionally and comply with all local traffic laws in Ghana and other operating territories.
  • Safety: Drivers must ensure that goods are transported securely and delivered in the condition they were received.


5. Delivery and Payments

  • Pricing: Delivery fees are calculated based on distance, demand, and urgency to ensure an economical cost for the end client and a fair wage for the driver.
  • Payments: Sumami facilitates payments between stores and drivers. Payouts to Drivers from Stores will be processed according to the schedule defined in the app per fulfilled delivery via MoMo.
  • Cancellations: Sumami reserves the right to cancel and even charge cancellation fees to any party that disrupts the delivery flow without valid cause.


6. Acceptable Use & Prohibited Items

Users may not use the Sumami platform to transport:

  • Illegal drugs or controlled substances.
  • Dangerous or hazardous materials (unless specifically authorized).
  • Any items prohibited under the laws of Ghana.


7. Absolute Disclaimer of Liability 

  • No Responsibility for Deliveries: Since Sumami is not involved in the actual transport or handling of goods, Sumami expressly disclaims any and all liability for any loss, damage, theft, or delay occurring during the delivery process.
  • "As-Is" Platform: The app is provided on an "as-is" and "as-available" basis. We do not guarantee that the service will be uninterrupted or error-free.
  • Total Liability Waiver: To the maximum extent permitted by the laws of Ghana and other operating territories, Sumami shall have zero liability for any personal injury, property damage, or financial loss arising from the interactions between Stores, Drivers, and end Customers.
  • User Responsibility: Any legal dispute regarding the condition of goods or the conduct of a driver must be resolved directly between the parties involved. Users are encouraged to report any issues to Sumami and utilize the in-app review system for Stores and Drivers. While Sumami is not a party to the delivery contract, we reserve the right, at our sole discretion, to investigate reports of negligence or misconduct and may terminate or suspend the app access of any party found to be in violation of our standards. By using the platform, you agree to release Sumami from any and all claims, demands, or damages of every kind and nature arising out of such disputes. 


8. Intellectual Property

All rights in the Sumami app, the "Sumami" name, and the logo (including the motorcycle/delivery branding) are the exclusive property of Sumami. Users are granted a limited, non-exclusive license to use the app for its intended purpose, and any marketing materials provided to the stores/drivers.


9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.


10. Modifications

Sumami reserves the right to modify these Terms at any time. Continued use of the platform following any changes constitutes your acceptance of the new Terms.
